Terms of service
How requests, quotations, and delivered work are handled.
1. Who we are
365 Metrix is operated by Zeropro LLC, Uzbekistan("we", "us"). By submitting a project request you agree to these terms.
2. The service
We provide custom business automation, data analytics, Excel and PowerPoint solutions, and workflow development. You describe your project with the help of our project assistant; our specialists review it, quote it, and build and deliver the solution.
3. The AI project assistant
The assistant helps you describe your requirements. Its responses are preliminary and are not a quotation, a commitment to a price or deadline, or professional advice. Only a quotation sent by our team, and accepted by you, creates an agreement to carry out work.
4. Requests and quotations
Submitting a request does not oblige you to buy anything, and does not oblige us to accept the work. If we can help, we send a quotation listing the deliverables, the price, and the assumptions it depends on. The quotation is valid for the period stated in it.
If the scope changes after you accept a quotation, we will agree the change, and any difference in price or timing, with you before doing the additional work.
5. Payment Pending legal review
Payment terms, currency, and method are stated in each quotation. Unless the quotation says otherwise, work begins after the quotation is accepted and any agreed deposit is received.
6. Your responsibilities
- You have the right to share any files and information you send us.
- Remove or replace confidential or personal data that the project does not need.
- Give accurate information and respond to clarifying questions so we can deliver to schedule.
- Keep your own backups of your files and data.
- Test delivered solutions in your own environment before relying on them in production.
7. Delivery and acceptance Pending legal review
We test each solution against the acceptance criteria agreed for the project and deliver it with instructions. Please tell us promptly if something does not meet those criteria; we will correct defects within the agreed scope. The period for reporting issues is stated in the quotation.
8. Intellectual property Pending legal review
Once a project is paid in full, you own the deliverables created specifically for you. We keep our general knowledge, methods, and any reusable components or code that existed before the project or were not created specifically for you, and grant you the right to use them as part of the deliverables.
9. Confidentiality
We treat the information and files you share as confidential and use them only to provide the service. See our privacy policy for how we handle personal data and files. If you need a separate non-disclosure agreement, ask before sharing files.
10. Warranties and liability Pending legal review
We carry out work with reasonable skill and care. Except as stated in an accepted quotation, solutions are provided without further warranties, including any warranty that they are suitable for a purpose that was not part of the agreed scope. To the extent the law allows, our total liability for a project is limited to the amount paid for that project, and we are not liable for indirect or consequential loss, including loss of data or profit.
11. Governing law Pending legal review
These terms are governed by the laws of the Republic of Uzbekistan, unless an accepted quotation provides otherwise.
